Proprietorship vs Partnership vs LLP vs Private Limited: Which to Choose

Four common ways to run a business in India, compared on liability, compliance and funding.

The structure you pick decides your personal liability, the compliance you carry and how easily you can raise money. There is no single best choice, only the one that fits your size and plans.

The four structures at a glance

Point Proprietorship Partnership firm LLP Private limited company
Separate legal entity No No Yes Yes
Owner liability Unlimited Unlimited Limited to contribution Limited to shares
Minimum people One Two Two partners Two directors and shareholders (a one-person company is also possible)
Registration with the Registrar Not needed Optional Required Required
Raising outside funds Difficult Limited Moderate Easiest
Compliance load Lowest Low Moderate Highest

How to decide

  • Starting small, testing an idea: a proprietorship is the quickest and cheapest. You still need GST registration once your turnover crosses the limit, and records matter from day one (see bookkeeping basics).
  • Professionals or family businesses wanting limited liability: an LLP offers protection with lighter compliance than a company.
  • Planning investors, employees with stock options or large loans: a private limited company is the usual choice.
  • Non-profit or charitable aims: consider a trust instead.

Do not forget

  • Companies must have their accounts audited every year. For an LLP, audit depends on turnover and contribution limits, so check the current thresholds.
  • Check if your business qualifies for Udyam registration, whatever the structure.
  • Tax rates and treatment differ by structure, so compare the current position before you decide.

Frequently asked questions

Which structure is cheapest to run?

A proprietorship, because it has the least registration and compliance.

Does an LLP protect my personal assets?

Generally your liability is limited to your agreed contribution, except in cases of fraud or wrongful acts.

Can a proprietorship be converted later?

Yes, a business can be moved into an LLP or company later, but the process has tax and legal steps, so plan it with advice.

Is a private limited company needed to raise funds?

Investors generally prefer it, though other routes such as loans can work for other structures.
